Terms of Service

These Terms of Service ("Terms") govern your use of VaultEdu, a school management system provided by Morph Tech Inc. ("Morph Tech", "we", "us"). By accessing or using VaultEdu, you agree to these Terms.

1. Service Description

VaultEdu is a software-as-a-service (SaaS) platform that provides schools with:

• A professionally designed school website hosted at [yourschool].vaulteduph.com
• AI-powered brand identity discovery and design
• School management tools (enrollment, student records, communications)
• A dedicated client portal for onboarding, document management, and support

2. Fees and Payment

• Setup Fee: A one-time setup fee is charged upon signing the service agreement. The amount depends on the selected package (Starter, Growth, or Complete).
• Monthly Subscription: A recurring monthly fee is charged for continued access to the platform and services.
• Payment Methods: Payments can be made via PayMongo (GCash, GrabPay, Maya, credit/debit card, online banking) or bank transfer to our RCBC account.
• Late Payment: If monthly payment is not received within 15 days of the due date, we reserve the right to suspend service until payment is received.
• No Refunds: Setup fees are non-refundable. Monthly fees are non-refundable for the current billing period.

3. Client Obligations

As a VaultEdu client, you agree to:

• Provide accurate and complete information during registration and onboarding
• Maintain the confidentiality of your account credentials
• Use the service in compliance with all applicable Philippine laws and regulations
• Not use the platform for any illegal, harmful, or unauthorized purpose
• Provide timely responses during the onboarding process to avoid delays
• Ensure that any content you upload (logos, photos, text) does not infringe on third-party intellectual property rights

4. Morph Tech Obligations

We commit to:

• Providing the VaultEdu service with reasonable uptime (target: 99.5% monthly)
• Securing your data with industry-standard encryption and access controls
• Completing the initial website build within the timeline agreed upon in the service agreement
• Providing technical support during business hours (Monday–Friday, 9 AM – 6 PM PHT)
• Notifying you of planned maintenance at least 24 hours in advance

5. Intellectual Property

• Your Content: You retain ownership of all content you provide (logos, photos, school information). You grant us a license to use this content solely for providing the VaultEdu service.
• Our Platform: The VaultEdu platform, including its design, code, and documentation, is the intellectual property of Morph Tech Inc. You may not copy, modify, or reverse-engineer any part of the platform.
• Website Design: The custom website design created for your school is licensed to you for the duration of your active subscription. Design ownership transfers to you after 24 months of continuous paid subscription.

6. Cancellation and Termination

• By Client: You may cancel your subscription at any time with 30 days written notice to morphtechincorporated@gmail.com. No refund is provided for the remaining billing period.
• By Morph Tech: We may terminate your account if you breach these Terms, fail to pay for 30+ days, or use the service for prohibited purposes. We will provide reasonable notice before termination.
• Data Export: Upon termination, you may request an export of your data within 30 days. After 90 days, your data may be permanently deleted.

7. Service Level and Availability

VaultEdu is hosted on Vercel and Supabase infrastructure. While we target 99.5% uptime, we do not guarantee uninterrupted service. We are not liable for downtime caused by third-party providers, internet outages, or force majeure events.

8. Limitation of Liability

To the maximum extent permitted by Philippine law:

• Morph Tech's total liability for any claim arising from these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
• We are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.
• We are not responsible for the accuracy or completeness of school data entered by the client.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be resolved in the courts of the Philippines.

10. Changes to Terms

We may update these Terms from time to time. We will notify active clients of material changes via email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the new Terms.
